Terms & Conditions – Stratex Commodity Group OÜ

        These Terms & Conditions (“Terms”) govern the relationship between
        Stratex Commodity Group OÜ (“Stratex,” “we,” “our”) and any individual or entity (“Client,” “you”)
        engaging with our services. By using our website, submitting inquiries, or entering into business discussions with us,
        you agree to the following.
      
1. Role of Stratex
- Stratex acts solely as an independent intermediary/broker connecting verified suppliers and mandates with potential buyers of commodities.
 - Stratex is not a producer, supplier, or financial institution and does not act as a contracting party in the final purchase/sale agreement.
 
2. Procedures
- All transactions are conducted according to international trade procedures.
 - Buyers may be required to submit documentation such as a Letter of Intent (LOI) and a Company Information Sheet (CIS), which Stratex may forward to suppliers or mandates strictly for the purpose of the requested transaction.
 - Stratex may request additional compliance documentation (e.g., KYC, NCNDA, IMFPA) where applicable.
 
3. Commissions
- Stratex earns commissions as agreed in writing with the supplier, mandate, or buyer (e.g., via IMFPA or a separate brokerage agreement).
 - The Client acknowledges that Stratex is entitled to such commission once an introduction has resulted in a successful transaction.
 
4. Liability
Stratex provides introductions in good faith but assumes no responsibility or liability for:
- Quality, specifications, or delivery of goods;
 - Performance of suppliers, mandates, buyers, or other third parties;
 - Payment defaults, delays, or failures in execution of the contract.
 
All contractual obligations lie exclusively between the buyer and the supplier.
5. Confidentiality
        All information shared by either party—including LOI, CIS, financial data, and supplier details—must be treated as
        strictly confidential. Stratex will share such information only with the relevant counterparty for the
        purpose of facilitating the transaction.
      
6. Data Protection
        Stratex processes personal and business data in line with its Privacy Policy and in compliance with GDPR.
        By submitting LOI, CIS, or other documentation, the Client expressly authorizes Stratex to share such data with relevant suppliers
        or mandates solely for the purpose of the transaction.
      
7. Governing Law & Jurisdiction
        These Terms are governed by and construed in accordance with the laws of The Republic of Estonia. Any disputes arising
        from or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in
        Harju County Court (Tallinn), Estonia.
      
8. Amendments
Stratex reserves the right to amend these Terms at any time. Updates will be published on our website.
